FRP provided financial and tax due diligence services, supporting Cyberfort in a transaction that strengthens its market position in the growing UK cyber security sector.
Background
Cyberfort is one of the UK’s leading providers of ultra-secure managed IT services to mid-market UK companies and is a portfolio company of Palatine Private Equity. ZDL is a cyber security solutions business, operating in the UK and US. Founded in 2012, ZDL provides four key services to its portfolio of blue-chip clients: ethical hacking, managed security, bespoke training and compliance. The acquisition will enhance and complement Cyberfort’s current service offering and customer base.
Action
FRP’s Financial Advisory team was engaged to provide financial and tax due diligence services. The team, led by our transaction services specialists, Partner Justin Matthews and Director James Norman, and supported by their tax partners, worked collaboratively with Cyberfort, ZDL and the other buy-side advisers to successfully facilitate the transaction, support commercial negotiations and ensure a positive outcome for all parties involved.
Outcome
The acquisition will grow Cyberfort’s presence in the cyber security market and will continue to build on its strong customer base.
Andy Strickland, Palatine Private Equity, Partner: “FRP’s thorough Financial and Tax Due Diligence services were invaluable in supporting this transaction. Their detailed analysis and insightful commercial considerations ensured we had the clarity needed to make informed decisions, ultimately delivering a successful outcome for all parties involved.”
Glen Williams, Cyberfort, CEO: “I’d like to thank the FRP team for helping support the Cyberfort management team through the acquisition of ZDL. Throughout our interactions FRP were diligent and extremely professional and they provided considerable assistance in getting the deal done.”
The transaction demonstrates FRP’s transaction services capabilities, with our expertise allowing us to proficiently highlight key issues and ask the right questions to enable our clients to make informed investment decisions necessary to agree key commercial decisions and successfully complete a transaction.
We have enjoyed working with Cyberfort, Palatine and their advisers in our role as Transaction Services provider to successfully complete this deal. We look forward to seeing Cyberfort achieve its strategic growth plans over the coming years.
